Welcome to LeaveSource© by Qcera, Inc. ("Qcera", "we", or "our"). This End User Terms ("EUT") specifies the terms and conditions that govern your access and use of the Site and the services made available through the Site (collectively the "Service"). Requirements
This Site is made available to you through the leave services selected by your employer. Based on your access rights, designated by your employer, you can use the Site to view information on your own leave of absences or that of employees in your company. On your first login you will be prompted to read and accept this EUT. By accepting and/or by using this service, you are agreeing to be bound by these terms and conditions. If you do not wish to be bound by what you read below, you must select to decline and/or stop using the Site. We may change these terms at any time but will notify you in advance of any material changes. Your continued use of the Site means that you accept any new or modified terms and conditions.

Privacy Policy
By using the Site or the Service, you acknowledge that your personal data will be used by us in accordance with our Privacy Policy and leave services selected by your employer. Qcera may revise the Privacy Policy at any time, and the new versions will be available on the Site.

EUT Updates
Qcera may revise this EUT at any time but will notify you in advance of any material changes. Your continued use of the Site means that you accept any new or modified terms and conditions. The latest EUT will be posted on the Site.

Terms and Conditions

Limited License
Upon complete registration and/or use of the Site, Qcera grants you a non-exclusive, revocable, non-transferable license to use the service in accordance with this agreement solely for your own personal, non-commercial use. You may not reproduce, distribute, publicly display or otherwise make the service available to any other person or entity or prepare derivative works of the service. Qcera reserves and retains all rights not expressly granted to you herein.

No Violation of Laws
You agree that you will not, in connection with your use of the Site or the Service, violate any applicable law or regulation.

Changes
Qcera may, in its discretion, change, revise, modify, add, upgrade or remove services on the Site in whole or in part at any time but will notify you in advance of any material changes. Qcera may also impose limitations or restrictions on or revoke your access to any aspect or feature of the Site without notice to you, if necessary to do so.

Misuse of Site and/or Service
You may not connect to or use the Site and/or Service in any way not expressly permitted by this EUT. Without limiting the foregoing, you agree that you will not: (a) institute, assist, or become involved in any type of attack, including without limitation denial of service attacks, upon the Site and/or Service or otherwise attempt to disrupt the Site and/or Service or any other person’s use of the Site and/or Service; or (b) attempt to gain unauthorized access to the Site, Service, information provided by other users, or the computer systems or networks connected to the Site and/or Service. Furthermore, you may not use the Site or Service to develop, generate, transmit or store information that: (i) is defamatory, harmful, abusive, obscene or hateful; (ii) in any way obstructs or otherwise interferes with the normal performance of another person’s use of the Site and/or Service; (iii) performs any unsolicited commercial communication not permitted by applicable law; (iv) constitutes harassment or a violation of privacy or threatens other people or groups of people; (v) is harmful to children in any manner; (vi) violates any applicable law, regulation or ordinance; (vii) makes any false, misleading or deceptive statement or representation regarding Qcera and/or the Service; or (viii) constitutes phishing, pharming or impersonates any other person, or steals or assumes any person’s identity (whether a real identity or online nickname or alias).

Prohibited Uses
Without limiting the foregoing, you further agree not to use our Site and/or Services to: (a) perform any commercial activities without the written consent of Qcera; (b) forge headers or manipulate identifiers as a means to mask the origin of any content transmitted through the Service; (c) disrupt the servers or networks connected to the Qcera Site; (d) transmit any content, materials or submissions that is unlawful, invasive of another’s privacy, or otherwise objectionable; (e) hurt minors in any way, “stalk” any individuals or gather personal information about other users; (f) pretend to be any person or entity or feign your affiliation with a person or entity; (g) transmit any content, materials or submissions that would infringe upon another’s intellectual property rights or would be considered “spam”, “chain letters” or any other form of solicitation; (h) post any content, materials or submissions that you should not transmit under any contract, law or fiduciary relationship or any content, materials or submissions containing any viruses or programs that would affect functionality; (i) access restricted access pages or data; and (j) break any applicable laws or regulations or aid any other user in achieving illegal activities.

No Data Mining or Harmful Code
You agree that you will not (a) obtain or attempt to obtain any information from the Service, including without limitation email information of other users, subscribers or other data; (b) intercept, examine or otherwise observe any proprietary communications protocol used by the Service, whether through the use of a network analyzer, packet sniffer or other device; or (c) use any type of bot, spider, virus, clock, timer, counter, worm, software lock, drop dead device, Trojan-horse routing, trap door, time bomb or any other codes, instructions or third-party software that is designed to provide a means of surreptitious or unauthorized access to, or distort, delete, damage or disassemble, the Site or the Service.

Cancellation by Qcera
Qcera may revoke your license, without notice or liability at any time if it determines in its sole discretion that: (i) your employment with your employer is terminated; (ii) as directed by your employer; (iii) you have breached any portion of this EUT; (iv) your use of or access to the Site violates any applicable law or regulation or otherwise inhibits any other subscriber from using or accessing the Site or any other service offered by Qcera on the Site. None of the foregoing limits any other legal, equitable, or contractual rights available to Qcera.

Disclaimer of Warranties and Liabilities
Qcera, or any parties transmitting information makes no promises of accuracy, completeness, timeliness or correct sequencing of the information. There may be delays, omissions or inaccuracies in the information. You agree that neither Qcera or any third party shall have any liability, contingent or otherwise, for the accuracy, completeness, timeliness or correct sequencing of the information, or for any decision made or action taken by you in reliance upon the information the Site, or for interruption of any data, information or aspect of the Site. Qcera also makes no promises that our Site will be delivered to you uninterrupted, timely, or error-free.

QCERA SHALL NOT BE LIABLE FOR ANY DAMAGES OF ANY KIND ARISING FROM OR RELATING TO THESE TERMS, THE SERVICE, THE SITE, OR THE USE OF, OR RELIANCE ON, ANY OF THEM, WHETHER IN CONTRACT OR TORT OR OTHERWISE. QCERA SHALL NOT BE LIABLE FOR ANY PUNITIVE, SPECIAL, INDIRECT, OR CONSEQUENTIAL DAMAGES ARISING FROM OR RELATING TO THE FOREGOING, WHETHER IN CONTRACT OR TORT OR OTHERWISE, EVEN IF QCERA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Miscellaneous
If any provision in this EUT is invalid, unenforceable, or nonsensical, the remaining provisions will continue in full force and effect.

You agree that any claim arising out of your use of the Site shall be determined by binding arbitration, which either party may commence, in accordance with the Commercial Arbitration Rules of the American Arbitration Association, pursuant to the provisions of this EUT.

This EUT is and always will be governed by the laws of the United States of America and the State of California (except with respect to choice of law). You agree that the proper forum for any claim arising under this EUT will be in Los Angeles County, California.
